Agreement

By agreeing (verbally or written) to hire and/or to pay to Screenwriting for Hollywood (SFH), which includes Jaden and/or its related parties, for writing services (Coverage, Consultation, Proofreading, the Full Shebang), other related services (such as, but not limited to: interviewing, screenwriting, article writing, guest posts), and/or if you email your script or submit other unsolicited materials to SFH you agree that you have read and accept the following Agreement.

1. AUTHORSHIP: I/we am/are the author(s) or I/we legally represent the author(s) of the screenplay or other materials, which I/we have submitted to Screenwriting for Hollywood (SFH) .

2. OWNERSHIP AND SUBMISSION CRITERIA: I/we am/are the sole and exclusive owners(s) or I/we legally represent the owner(s) of all rights thereto and there are no disputes regarding ownership of the submission. I/we have full authority to submit the screenplay to SFH. I/we request that you read and evaluate my/our screenplay, agree to pay the service fee and acknowledge that my/our submission of this written material is voluntary.

3. PRIVACY AND INFORMATION: I/we recognize that SFH and/or its related parties operate in good faith and will not share any literary materials without my/our written consent.

4. DEFAMATION: I/we guarantee the submitted screenplay does not invade or defame the rights of any person, living or dead and I/we fully indemnify SFH against any claim made for such invasion, defamation or other violations of law.

5. INDEMNIFICATION: I/we agree to hold SFH, its affiliated companies, employees, readers, agents, judges, officers, subsidiaries, successors, assigns, directors, service providers, suppliers and third-party information providers harmless from and defend them against all claims, demands, losses, costs, damages, judgments, liabilities and expenses (including attorneys fees) arising out of or in connection with any and all claims, whether or not groundless, based on my/our services requested or screenplay submitted to SFH or on any screenplay developed out of such submissions. I/we also will not assert against SFH and said related parties any claim or action based on plagiarism, infringement, confidential relationship, implied contract, idea theft or any other theory arising out of SFH’s review of the submitted materials or any alleged use by the related parties of the submitted materials. If, notwithstanding my/our release above, I/we should bring any action against SFH or its related parties, litigation will take place in any court convenient to SFH, Jaden, and/or its related parties, and if I/we am/are unsuccessful in such action, I/we agree to pay SFH and/or its related parties all of their costs and expenses in defending such an action, along with any penalties a judge may award.

6. ACCESS TO IDEAS: I/we recognize that SFH and/or its related parties have wide access to ideas, stories and other literary materials and that new ideas are constantly being submitted to you. I/we recognize that SFH and/or its related parties have their own ideas and create their own materials that may be similar to mine. I/we also recognize that many ideas and stories are similar and often different stories and ideas relate to one or more underlying themes.

7. LIMITATIONS OF LIABILITY: I/we recognize that UNDER NO CIRCUMSTANCES SHALL SFH BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (EVEN IF SFH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM ANY ASPECT OF YOUR USE OF THE SFH SITE OR THE SERVICE, WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF THE SFH SITE OR THE SERVICE, FROM INABILITY TO USE THE SFH SITE OR THE SERVICE, OR THE INTERRUPTION, SUSPENSION, MODIFICATION, ALTERATION, OR TERMINATION OF THE SFH SITE OR THE SERVICE. SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF OTHER SERVICES OR PRODUCTS RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH THE SFH SITE OR THE SERVICE OR ANY LINKS ON THE SFH SITE, AS WELL AS BY REASON OF ANY INFORMATION OR ADVICE RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH THE SFH SITE OR THE SERVICE OR ANY LINKS ON THE SFH SITE. THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. In some jurisdictions, limitations of liability are not permitted. In such jurisdictions, some of the foregoing limitation may not apply to you.

8. PAYMENT: I/we agree to pay in full prior to the delivery of any and all services by SFH, Jaden, and/or all related parties. I/we understand that NO REFUNDS shall be granted. If a verbal or written agreement is made stating that SFH, Jaden, and/or all related parties will accept a partial advance payment, partial payment, or unique payment plan, I/we promise to pay the full amount as agreed according to my/our agreed payment plan. I/we understand that any unexpected charges I/we discuss, late fees, rush fees, or other charges will be honored and paid before any work or services are delivered. If I/we do not pay by the agreed date, I/we understand that SFH holds all legal rights to the work and that legal actions may be taken against me/us to recoup the costs incurred by SFH, Jaden, and/or its related parties for hours and work that have gone unpaid by me/us. If, notwithstanding my/our release above, should SFH, Jaden, and/or its related parties bring any action against me/us due to my/our failure to pay, litigation will take place in any court convenient to SFH, Jaden, and/or its related parties. If I/we am/are unsuccessful in my/our defense, I/we agree to pay SFH, Jaden, and/or its related parties all of their costs and expenses relating to making such an action, including and not limited to the agreed payment, along with any penalties a judge may award.
